Legal · Partner program
These Terms govern participation in the TradesKit Partner Referral Program (the "Program") operated by Cascade Software Solutions LLC, an Oregon limited liability company ("TradesKit", "we"). By applying to or participating in the Program you ("Partner", "you") agree to these Terms and to the TradesKit Terms of Service.
1.1 Referral tier. You introduce a prospect and help close them. No ongoing obligations.
1.2 Partner tier. You close, onboard, act as the account's designated first-line support contact, and conduct quarterly check-ins.
1.3 Tier assignment. Tier is chosen per Qualified Account at registration. An account registered under the Referral tier may be converted to the Partner tier within its first 12 months with TradesKit's written consent; the Partner-tier schedule then runs from the account's original first paid invoice.
1.4 Rate lock. The commission rates in effect when an account is registered apply to that account for the full schedule above. Rate changes under Section 11 apply only to accounts registered after the change takes effect.
2.1 Qualified Account. A business that (a) is not, and was not within the 60 days before registration, a TradesKit customer, trial, or known prospect in TradesKit's records; (b) is registered by you under Section 2.2 before its first paid invoice; and (c) becomes a paying TradesKit subscriber within 90 days of registration.
2.2 Registration. An account is registered by either (a) sign-up through your unique partner link or partner code, or (b) a Lead Registration submitted through the Partner dashboard or form. You must have personally spoken with or marketed to the lead before registering it, and must hold any consent required by law to contact them.
2.3 First registration wins. Where more than one Partner registers the same business, the earliest valid registration receives the commission. TradesKit's records are final.
2.4 Exclusions. No commission is payable on (a) your own business or any business you own or control; (b) accounts obtained through methods prohibited in Section 7; (c) add-on purchases, hardware, professional services, or any product other than TradesKit subscription fees unless listed in the Partner dashboard.
2.5 TradesKit's discretion. TradesKit decides whether to accept any referred business as a customer and on what terms, and may decline in good faith to pay for a referral it reasonably believes does not meet Section 2.1.
3.1 Collected Revenue means subscription fees actually received by TradesKit from a Qualified Account, net of refunds, chargebacks, credits, discounts, promotional periods, and sales taxes. No commission is owed on trials, unpaid invoices, or free periods.
3.2 Payment. Commissions are calculated monthly and paid on or about the 15th of each month for Collected Revenue received in the prior calendar month, by ACH or PayPal. Minimum payout is $50; balances below that roll forward.
3.3 Refunds and chargebacks. If TradesKit refunds or is charged back for any payment on which commission was paid, that commission is unearned and is deducted from your next payout(s).
3.4 Prerequisites. Payment requires a completed Partner profile, a valid payout method, and a completed W-9 (US) or W-8 (non-US). Commissions on which these remain outstanding for 6 months are forfeited.
3.5 Offset. Amounts payable to you may be offset against amounts you owe TradesKit.
3.6 Taxes. You are responsible for all taxes on commissions. TradesKit will issue a 1099 where required and may withhold where required by law.
4.1 Designated contact. For Partner-tier accounts you are the customer's first-line contact for setup, training, how-to questions, and billing questions. You escalate defects, outages, and security matters to TradesKit support without delay.
4.2 Account access. TradesKit may provide you a Partner role in the customer's account only with the customer's authorization. You will use customer data solely to serve that customer, will not export or repurpose it, and will comply with Section 9.
4.3 Standards. You will represent TradesKit accurately, follow TradesKit's published guidance and pricing, and not promise features, timelines, or discounts that TradesKit has not published.
4.4 Handback. If you cease to serve an account (by your choice, by the customer's request, or by termination), the account reverts to TradesKit support and the Partner-tier schedule for that account ends under Section 5.3.
5.1 Good Standing for an account means: the account is active and paying; you remain its designated service contact; and you have met the Service Standard in at least 3 of the preceding 4 calendar quarters.
5.2 Service Standard. The Service Standard is: onboarding completed within 30 days of the first paid invoice; first response to the customer's support requests within one business day; a quarterly check-in logged with TradesKit; no unresolved customer complaint about Partner service older than 30 days. TradesKit may update it on 30 days' notice; updates apply to all Partner-tier accounts from the effective date.
5.3 Loss of Good Standing. An account that loses Good Standing converts to Referral-tier terms for the remainder of its schedule: commission continues at the applicable rate through month 12 and stops thereafter. An account cannot regain Partner-tier status once converted, except by TradesKit's written consent.
5.4 Customer choice. A customer may at any time ask TradesKit to change or remove their Partner. TradesKit will honor that request. The account is then treated under Section 5.3.
Every referred business is a TradesKit customer. The account, its data, the subscription, and the billing relationship belong to TradesKit and the customer. You acquire no interest in any customer account or customer data. Nothing in these Terms restricts TradesKit from communicating with, supporting, or selling to any customer.
You will not:
Breach of this Section is a material breach. TradesKit may reverse related commissions, withhold unpaid commissions, and terminate immediately.
TradesKit grants you a revocable, non-exclusive, non-transferable license to use the TradesKit name, logo, and approved materials solely to promote TradesKit under these Terms and in the form TradesKit provides. All goodwill accrues to TradesKit. The license ends on termination.
Each party will hold the other's Confidential Information in confidence, use it only for the Program, and protect it with at least reasonable care. TradesKit's Confidential Information includes customer and prospect information, pricing not published, roadmap, and Program performance data, whether or not marked. Standard exclusions apply (public, independently developed, lawfully received from a third party, or required by law with notice). Customer data is governed by the TradesKit Privacy Policy and Section 4.2.
You are an independent contractor. No employment, agency, partnership, or joint venture is created. You have no authority to bind TradesKit. You are responsible for your own expenses, insurance, licenses, and taxes. The Program is non-exclusive for both parties.
TradesKit may change these Terms, commission rates for future registrations, the Service Standard, or Program benefits on 30 days' notice by email or the Partner dashboard. Continued participation after the effective date is acceptance. Rates on already-registered accounts are protected by Section 1.4. If you object to a change you may terminate under Section 12.1 before it takes effect.
12.1 Term. These Terms begin on acceptance and continue month to month. Either party may terminate for convenience on 30 days' written notice.
12.2 For cause. TradesKit may terminate or suspend immediately for breach of Section 7, fraud, unlawful conduct, insolvency, or conduct TradesKit reasonably believes harms its reputation or customers.
12.3 Effect on commissions.
12.4 On termination you stop using TradesKit marks and materials, lose Partner-role access to customer accounts, and return or destroy Confidential Information. Sections 3.3, 3.5, 6, 9, 13, 14, and 15 survive.
You warrant that you have authority to enter these Terms, will comply with all applicable laws (including CAN-SPAM, TCPA, FTC endorsement guidance, and data protection laws), and that your materials will not infringe any third-party right. The Program, dashboard, and TradesKit products are provided "as is". TradesKit does not guarantee any income, referral volume, or business result, and will not supply you leads unless TradesKit elects to.
You will defend and indemnify TradesKit against third-party claims arising from your breach of these Terms, your marketing, your handling of customer or prospect data, or your negligence or misconduct. Neither party is liable for indirect, consequential, or lost-profit damages. TradesKit's aggregate liability under these Terms is limited to the commissions actually paid to you in the 12 months preceding the claim.
Governing law: the State of Oregon, with exclusive venue in the state and federal courts located in [COUNTY], Oregon. Claims must be brought within one year of accrual, except for non-payment. You may not assign these Terms without consent. Notices go to the email on file. If any provision is unenforceable the rest remains in effect. These Terms, the Partner dashboard, and any signed Partner Addendum are the entire agreement; a signed Addendum controls in a conflict.
